1. Introduction
These Terms of Service govern access to and use of MusKent Commerce OS, including the MusKent website, dashboards, APIs, connectors, billing systems, AI features, automation services, and related support channels operated by MUS-KENT IT Services Ltd., RC No. 8061104. By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not have authority to bind that organization, or if you do not agree to these Terms, you must not use the Service.
2. Definitions
In these Terms: "MusKent," "we," "us," and "our" mean MUS-KENT IT Services Ltd.; "Service" means MusKent Commerce OS and related websites, dashboards, APIs, AI systems, connectors, automation features, and support services; "Customer," "you," and "your" mean the individual or legal entity using the Service; "Workspace" means a tenant-scoped MusKent environment and all users, integrations, data, settings, and billing state connected to it; "Customer Data" means data, content, records, credentials, configuration, product information, order information, marketing assets, prompts, files, or other materials submitted to or processed through the Service on your behalf; "Output" means reports, suggestions, classifications, automations, recommendations, summaries, scores, or other results generated by the Service.
3. Account & Workspace Usage
You must provide accurate registration, billing, and workspace information and keep that information current. You are responsible for all activity that occurs under your account, your Workspace, your API credentials, and your connected integrations. You must maintain commercially reasonable administrative, technical, and physical safeguards to prevent unauthorized access to your credentials and connected accounts. You may authorize users within your organization to access a Workspace only to the extent necessary for your internal business operations, and you remain responsible for their acts and omissions. MusKent grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for your internal business purposes in accordance with these Terms and any applicable plan limits.
4. Acceptable Use Policy
You may use the Service only for lawful business activity and only in ways that do not abuse the platform, other customers, or third-party providers. You must use the Service in compliance with applicable law, payment-provider rules, advertising policies, marketplace rules, export controls, sanctions restrictions, privacy obligations, and data-protection requirements that apply to your business. You must ensure that all Customer Data, campaigns, automations, and instructions you submit are accurate, authorized, and appropriate for the intended use case. You must review automation behavior, generated content, and billing actions before deployment when human review is reasonably required.
5. Intellectual Property Rights
MusKent and its licensors retain all right, title, and interest in and to the Service, including the platform architecture, orchestration systems, AI workflows, automation logic, scoring pipelines, routing systems, APIs, documentation, dashboards, visual design, branding, datasets created by MusKent, service telemetry, and all related intellectual property rights. These Terms do not transfer ownership of the Service or any MusKent intellectual property to you. Except for the limited access right expressly granted in these Terms, no license or other right is granted to you by implication, estoppel, or otherwise. Customer Data remains yours or your licensors' property, subject to the rights you grant us to operate the Service.
6. Prohibited Actions
You must not, and must not permit any third party to, do any of the following:
- reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, model logic, prompt structure, scoring systems, workflow design, orchestration methods, or non-public APIs of the Service;
- copy, imitate, or reconstruct the Service's UI structure, feature flows, automation structure, AI workflow design, or operational architecture for the purpose of building a competing or substitute product or service;
- scrape, harvest, mirror, bulk export, or systematically extract Output, analytics, pricing logic, prompts, templates, routing decisions, recommendations, or other Service data at scale by manual or automated means;
- use bots, headless browsers, automation frameworks, or scripted access in a manner intended to bypass security controls, rate limits, plan gates, anti-abuse systems, or usage restrictions;
- resell, white-label, sublicense, benchmark for publication, lease, rent, or commercially exploit MusKent logic, automation structures, or AI systems as a competing service;
- introduce malware, abusive traffic, denial-of-service activity, credential attacks, prompt-extraction attempts, adversarial model inputs, or other harmful code or behavior;
- use the Service to violate third-party platform rules, consumer protection laws, advertising requirements, or data-protection obligations;
- access or attempt to access another customer's Workspace, data, usage, integrations, billing information, or Output.
7. AI & Automation Usage Terms
MusKent may use AI models, automation systems, statistical scoring, classification pipelines, and workflow orchestration to generate Output. Output is generated dynamically based on inputs, connected data, third-party signals, and system configuration, and may be incomplete, inaccurate, or unsuitable for a particular decision. You may use Output for lawful business purposes within your organization and in customer-facing operations at your own risk and subject to your independent review. You may not use the Service, or any Output, to replicate MusKent AI systems, extract or reconstruct prompts or system messages, infer hidden routing logic, train competing models on MusKent-specific Output at scale, or otherwise build competing automation or intelligence products from MusKent behavior. MusKent does not provide legal, tax, financial, accounting, compliance, or professional advice, and you remain solely responsible for final operational decisions.
8. Billing, Subscriptions & Payments
Paid access to the Service is subject to the plan, pricing, usage limits, billing cycle, and fee structure presented at purchase or in an applicable order form. You authorize MusKent and its payment providers to charge all fees, taxes, and other amounts due using the payment method associated with your account. Unless applicable law requires otherwise, fees are non-cancelable and non-refundable once billed. Subscription renewals, payment success, charge failures, reversals, settlement state, fulfillment charges, and other billing events may be determined using payment-provider records, webhook confirmations, settlement files, or other authoritative back-end records rather than browser callbacks or customer-facing status messages alone. You are responsible for all taxes, duties, levies, and governmental charges associated with your use of the Service other than taxes imposed on MusKent's net income. MusKent may suspend or limit access to paid features, connected billing functionality, AI workloads, or Workspace operations if fees remain overdue or if payment risk is detected.
9. Data Ownership & Privacy
As between you and MusKent, you retain ownership of Customer Data. You grant MusKent a worldwide, non-exclusive right to host, copy, transmit, transform, analyze, store, and otherwise process Customer Data only as necessary to provide, secure, support, improve, monitor, and enforce the Service and these Terms. MusKent owns service metadata, platform telemetry, system performance data, abuse signals, aggregated usage statistics, and de-identified analytics derived from operation of the Service, provided that such data does not identify you or disclose your confidential business information as customer-specific output. Your use of the Service is also subject to the MusKent Privacy Policy. You remain responsible for obtaining all rights, notices, and consents required to submit Customer Data to the Service and to connect third-party systems.
10. Integrations & Third-Party Services
The Service may interoperate with third-party providers, including payment processors, AI providers, advertising platforms, marketplace platforms, communication services, data services, and commerce infrastructure providers. MusKent acts as an orchestration layer for those integrations and does not own the third-party services, APIs, policies, or credentials that belong to those providers. Your use of third-party services remains subject to the providers' own terms, policies, pricing, and technical limitations. MusKent is not responsible for third-party outages, pricing changes, API deprecations, account suspensions, policy enforcement, data loss caused by a provider, or other third-party failures outside MusKent's reasonable control. Misuse of integrations, unauthorized credential sharing, attempts to bypass provider restrictions, or use of connected providers in violation of their terms may result in immediate suspension of the applicable Workspace or integration.
11. Service Availability & Modifications
MusKent may modify, improve, replace, suspend, or discontinue any feature, integration, workflow, model, route, plan inclusion, or component of the Service at any time. We will use commercially reasonable efforts to provide advance notice where a change materially reduces core paid functionality, except where immediate action is necessary for security, abuse prevention, legal compliance, provider dependency changes, infrastructure integrity, or emergency maintenance. MusKent does not guarantee uninterrupted availability, error-free operation, or compatibility with every third-party provider, region, device, or environment. Beta, preview, experimental, or limited-release features may be changed or removed at any time and may be subject to additional restrictions.
12. Termination & Suspension
You may stop using the Service at any time. MusKent may suspend, restrict, or terminate your access immediately, with or without prior notice, if we reasonably believe that you have breached these Terms, engaged in abuse, attempted reverse engineering, attempted prompt extraction, conducted suspicious scraping or extraction activity, misused integrations, created legal or operational risk for MusKent or other customers, failed to pay amounts due, or used the Service in a way that threatens security, availability, or compliance. MusKent may also suspend access where required by law, provider demand, court order, sanctions restrictions, or fraud controls. Upon termination, your right to access the Service ends immediately, but provisions that by their nature should survive will survive, including payment obligations, intellectual property rights, confidentiality, indemnification, limitations of liability, and restrictions on prohibited conduct.
13. Limitation of Liability
To the maximum extent permitted by law, MusKent, its affiliates, and their respective directors, officers, employees, agents, contractors, licensors, and suppliers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages; loss of profits, revenue, goodwill, data, or business opportunities; business interruption; procurement of substitute services; or losses arising from third-party service failures, provider policy actions, or unauthorized access caused by your failure to safeguard credentials. To the maximum extent permitted by law, the aggregate liability of MusKent for all claims arising out of or related to the Service or these Terms will not exceed the total fees paid by you to MusKent for the Service during the twelve months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Indemnification
You will defend, indemnify, and hold harmless MusKent, its affiliates, and their respective directors, officers, employees, agents, contractors, licensors, and suppliers from and against any third-party claims, actions, proceedings, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to: your use of the Service; your Customer Data; your connected integrations; your campaigns, automations, billing instructions, or generated outputs; your violation of these Terms; your violation of applicable law or third-party rights; or your misuse of AI, automation, billing, or connected provider functionality.
15. Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. The courts located in Lagos State, Nigeria will have exclusive jurisdiction over any dispute, controversy, or claim arising out of or relating to the Service or these Terms, and you consent to that jurisdiction and venue.
16. Updates to Terms
MusKent may update these Terms from time to time. When we do, we will publish the revised Terms and update the "Last Updated" date. Unless a different effective date is stated, revised Terms become effective when posted. If you continue to access or use the Service after revised Terms take effect, you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
